Section 16(a) of the Exchange Act requires the Company’s executive officers and directors to file reports of ownership and changes in ownership with the Securities and Exchange Commission and to furnish the Company with copies of all such reports they file. Based on its review of the copies of such reports received by it and on written representations from such persons, the Company believes that, during 2001, all filing requirements applicable to its directors and executive officers were complied with, except Ms. Barnett inadvertently failed to timely file a Form 4 reporting the purchase of 500 shares of Common Stock of the Company. In addition, Ms. Tallman inadvertently failed to timely file a Form 5 reporting the purchase of 7,965 shares through her 401(k) account, although her ownership of such shares had been previously reported on a Form 4.
